Terms of Service

1. Platform Overview

Guest Pass is a technology platform that connects users with independent fitness facilities (“Gyms”) that offer day passes and related services.

Important: Guest Pass does not own, operate, manage, or control any Gym and is not responsible for the services provided by Gyms.

2. Eligibility

You must:

• Be at least 18 years old (or have parental/guardian consent)
• Provide accurate account information
• Maintain the security of your account

3. Account Responsibility

You are responsible for:

• All activity under your account
• Maintaining login credentials
• Immediately notifying us of unauthorized use

4. Payment Processing and Financial Services

• Day passes are sold by Gyms through the Platform
• Prices are set by Gyms, not Guest Pass
• Payments are processed via third-party providers (e.g., Stripe)
• Guest Pass may charge service fees

All purchases are final unless otherwise stated by the Gym or required by law.

Guest Pass uses third-party payment processors, including but not limited to Stripe, to facilitate transactions on the Platform.

By making a purchase through the Platform, you agree to:

• Be bound by the terms and policies of the applicable payment processor
• Provide accurate and complete payment information
• Authorize Guest Pass and its payment processors to charge your selected payment method

Guest Pass does not store full payment card details and is not responsible for the security or performance of third-party payment processors.

5. Limited Payment Collection Agency

To the extent permitted by law:

• Guest Pass acts as a limited payment collection agent on behalf of participating Gyms
• Payment made by a user to Guest Pass is considered the same as payment made directly to the Gym

Once payment is successfully processed:

• The user’s obligation to the Gym is satisfied
• The Gym is responsible for fulfilling the purchased service

6. Payouts to Gyms

Guest Pass will facilitate payouts to Gyms according to a defined schedule.

Payouts may be subject to:

• Processing delays
• Holds for fraud prevention
• Chargebacks or disputes

Guest Pass reserves the right to withhold or delay payouts where necessary to manage risk or comply with legal obligations.

7. Chargebacks and Payment Disputes

If a user initiates a chargeback:

• Guest Pass may investigate and resolve the dispute
• The associated amount may be deducted from Gym payouts
• Repeated chargebacks may result in account suspension

Guest Pass is not liable for losses resulting from fraudulent transactions or disputed payments.

8. Gym Access and Rules

• Access is subject to Gym approval and policies
• You agree to follow all Gym rules and staff instructions
• Gyms may deny entry for any lawful reason

9. Assumption of Risk

You acknowledge that:

• Fitness activities involve inherent risks, including injury or death
• You voluntarily assume all risks associated with gym use

10. Release of Liability

To the fullest extent permitted by law, you release and hold harmless Guest Pass and its owners, employees, and affiliates from any claims arising out of:

• Personal injury or death
• Property damage or loss
• Gym conditions or equipment
• Actions of Gym staff or other members

11. Indemnification

You agree to defend, indemnify, and hold harmless Guest Pass from any claims, damages, or expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your conduct at any Gym

12. Platform Role Disclaimer

Guest Pass is:

• A marketplace intermediary only
• Not a fitness provider
• Not responsible for Gym safety, operations, or services

13. Refunds and Disputes

• Failure to use a pass does not qualify for a refund
• Refund policies are determined by the Gym unless otherwise stated. Gyms handle their own refund exceptions
• Guest Pass is not responsible for Gym refusal, closures, or service quality
• Payment disputes may be handled by the payment processor
• Users who initiate chargebacks may be banned
• Guest Pass reserves the right to resolve disputes at its discretion

14. User Conduct

You agree not to:

• Engage in unsafe or illegal behavior
• Damage Gym property
• Harass staff or members
• Misuse the Platform

15. Community Standards and Platform Discretion

Guest Pass reserves the right, in its sole discretion, to suspend, restrict, remove, or terminate any user account, Gym profile, listing, partnership, content, or access to the Platform at any time and for any reason, with or without notice.

This includes situations where Guest Pass determines that a user’s or affiliated party’s conduct, statements, actions, public behavior, affiliations, content, or reputation may:

• Harm or negatively impact the Guest Pass brand, reputation, business interests, or community
• Create safety concerns or legal risk
• Be considered offensive, discriminatory, hateful, harassing, abusive, threatening, or inappropriate
• Conflict with the values, standards, or intended community environment of the Platform
• Result in public controversy, reputational harm, or negative association with Guest Pass

Guest Pass may take action based on conduct occurring both on and off the Platform, including public statements, online activity, criminal allegations or investigations, media coverage, or other behavior Guest Pass believes may adversely affect the Platform or its users.

Guest Pass is under no obligation to continue providing access, promotional exposure, verification status, partnerships, or services to any user or Gym and may remove any account, listing, or affiliation at its discretion.

Users acknowledge that access to the Platform is a privilege and not a guaranteed right.

16. International Use

Guest Pass operates from the United States but may be accessed globally.

By using the Platform from outside the United States, you agree that:

• You are responsible for compliance with local laws
• You access the Platform at your own risk
• Guest Pass makes no representation that the Platform is appropriate or available in all locations

17. Cross-Border Transactions

Users acknowledge that:

• Transactions may involve cross-border payments
• Currency conversion and international fees may apply
• Guest Pass is not responsible for exchange rate differences, foreign transaction fees, or local banking charges

18. Limitation Based on Jurisdiction

To the fullest extent permitted by law:

• Some features or protections may not apply in certain jurisdictions
• Where local law conflicts with these Terms, applicable law will control only to the minimum extent required

19. Termination

We may suspend or terminate your account at any time for any reason, including violation of these Terms.

20. Limitation of Liability

To the fullest extent permitted by law, Guest Pass shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of data, profits, or business
• Any injuries occurring at Gyms

21. Arbitration and Dispute Resolution

Any disputes shall be resolved through binding arbitration, not court, except where prohibited by law.

22. Governing Law

These Terms are governed by the laws of North Carolina.

23. Changes to Terms

We may update these Terms at any time. Continued use of the Platform constitutes acceptance.
